1. Acceptance of Terms

By accessing and using the Partner Zone platform ("Platform"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Platform. The Platform is operated by Epsidon Technology Distribution (Pty) Ltd trading as First Distribution ("First Distribution") in collaboration with The Evolution Concept (Pty) Ltd trading as Tec IT ("Tec IT") (collectively "us" / "we" / "our") to support Microsoft partners in managing their partnership activities.

2. Eligibility

The Platform is intended for use by Microsoft partners and authorized representatives. By registering for an account and using the Platform, you represent and warrant that:

• You are authorized to act on behalf of your organization
• You are a current or prospective Microsoft partner
• All information provided during registration is accurate and complete
• You will maintain the accuracy of such information
• You are authorised to provide all information uploaded to the Platform, or otherwise provided to First Distribution and/or Tec IT, and have, where applicable, a lawful basis for sharing and/or processing any third-party information provided

3. User Accounts and Security

3.1 Account Creation

To access the Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You agree to:

• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities that occur under your account
• Not share your account credentials with any third party

3.3 Two-Factor Authentication

We may require two-factor authentication (2FA) for enhanced security. You agree to comply with all security measures implemented by the Platform.

4. Use of the Platform

4.1 Permitted Use

You may use the Platform to:

• Manage your Microsoft partnership activities
• Track leads, pipelines, and sales performance
• Monitor certifications and designations
• Access event management and ROI analytics
• View contracts and partnership documentation

4.2 Prohibited Activities

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or viruses
• Attempt to gain unauthorized access to the Platform or related systems
• Use the Platform for any fraudulent or unlawful purpose
• Share proprietary information with unauthorized parties
• Scrape, copy, or download data without authorization

5. Data Protection and Privacy

5.1 Personal Data

We collect and process personal data in accordance with applicable data protection laws. By using the Platform, you consent to the collection, use, and processing of your personal information as described in the applicable Privacy Policies (First Distribution Privacy Policy and Tec IT Privacy Policy).

By using the Platform, you warrant that you have a lawful basis for processing and/or providing any third-party personal data provided on the Platform, and indemnify First Distribution and Tec IT fully in respect of any failure to comply with this warranty.

5.2 Business Data

Any business data, metrics, and analytics provided through the Platform remain the property of your organization. We will not share your business data with third parties except as required by law or with your explicit consent.

5.3 Data Security

We implement appropriate technical and organizational measures to protect your data. However, no system is completely secure, and you acknowledge that you use the Platform at your own risk.

6. Intellectual Property Rights

6.1 Platform Ownership

The Platform, including all content, features, and functionality, is owned by First Distribution and Tec IT and is protected by copyright, trademark, and other intellectual property laws.

6.2 Microsoft Trademarks

Microsoft, Microsoft 365, and related trademarks are the property of Microsoft Corporation. Use of Microsoft trademarks must comply with Microsoft's brand guidelines.

6.3 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes in accordance with these Terms.

7. Service Availability

While we strive to maintain continuous availability, we do not guarantee that the Platform will be available at all times. We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Platform
• Perform scheduled maintenance
• Update features and functionality

We will provide reasonable notice of planned maintenance when possible.

8. Third-Party Services

The Platform may integrate with third-party services, including Microsoft Partner Center. Your use of such services is governed by their respective terms and conditions. We are not responsible for the availability, content, or practices of third-party services.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Platform is provided "as is" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• We shall not be liable for any damages whatsoever arising from your use of the Platform, or from any acts or omissions incidental and/or relating thereto, whether direct, indirect, incidental, special, consequential, or punitive, or otherwise damages
• Our total liability shall not exceed the fees paid by you (if any) in the 12 months preceding the claim

10. Indemnification & Waiver

You agree to indemnify and hold harmless First Distribution, Tec IT, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Any content or data you submit to the Platform

By using the Platform, you further hereby waive any and all claims against First Distribution and/or Tec IT arising out of any loss or damage which you may suffer or any expense that you may incur as a result of or relating to such use.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us.

11.2 Termination by Us

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Prolonged inactivity
• Request by law enforcement or regulatory authorities

11.3 Effect of Termination

Upon termination, your right to access and use the Platform will immediately cease. We may delete your account and data in accordance with our data retention policies.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on the Platform
• Sending notice to your registered email address
• Displaying a notification when you log in

Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the exclusive jurisdiction of the courts of South Africa.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and First Distribution and/or Tec IT regarding your use of the Platform. Nothing in these Terms shall affect or otherwise modify the terms of any other agreements and/or trading terms you may have with First Distribution and/or Tec IT.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
